Application and Entire Agreement

These Terms and Conditions apply to the supply of Goods and/or Services by Arthur James Hill trading as Hill’s Vulcanising, 79 Timberbottom, Bolton, Greater Manchester, BL2 3DQ (“we”, “us”, “our”).

By placing an order—through our website, in person, by email, or by accepting a quotation—you (“you”, “Customer”) agree to be bound by these Terms.

These Terms, together with any quotation or written agreement, form the entire contract (“Contract”). No other terms will apply, including any you attempt to introduce.

You confirm that you have not relied on any prior statements, promises or representations not expressly included in writing.


Interpretation

“Business Day” means any day other than Saturday, Sunday or public holiday in England and Wales.

Headings are for convenience only and do not affect interpretation.

Words in the singular include the plural and vice versa.


Services

We will supply Services with reasonable care and skill, in accordance with the quotation/specification.

Any dates given for completion are estimates only; time is not of the essence.

We may make necessary changes for legal or safety compliance and will notify you if such changes are significant.


Goods

Descriptions of Goods on our website or documentation are for guidance only unless confirmed in writing.

We may amend specifications if required for compliance with legal obligations or to improve product performance.


Online Ordering Process

When ordering online, you will receive an order confirmation email acknowledging your request.

The order becomes legally binding only when we send a dispatch confirmation.

We reserve the right to refuse or cancel any order prior to dispatch.


Price

Prices are as shown in the quotation or on our website at the time of order.

Prices may change due to factors outside our control (e.g., supplier costs, fuel costs). You will be notified before payment is taken or before dispatch.

Prices exclude VAT (where applicable), packaging, delivery, and other charges unless stated otherwise.


Your Obligations

You must provide accurate information, access, and instructions for us to deliver Goods or perform Services.

You must ensure Goods are suitable for your intended use; we are not liable where suitability depends on unknown conditions.

We are not responsible for delays caused by incorrect information or failure to provide required access or materials.


Fees for Services

Fees are set out in the quotation or agreed in writing.

Additional work not included in the quotation will be charged at our standard hourly rate unless otherwise agreed.

Fees exclude VAT.


Consumer Cancellation Rights

If you are a consumer, you have the right to cancel your order for Goods within 14 days of receiving them without giving a reason.

To exercise this right, you must notify us in writing.

Goods must be returned unused, in original condition and packaging.

You are responsible for return shipping costs unless the Goods are faulty.

The following items cannot be returned under cooling-off rights:

  • Bespoke, customised, or made-to-order items
  • Goods that become inseparable from other items after installation
  • Goods that deteriorate quickly
  • Refunds will be issued within 14 days of receiving the returned Goods.

Cancellation & Amendment (Services)

You may request amendments in writing; additional costs may apply.

We may withdraw or amend a quotation if not accepted within 3 days.

Either party may cancel before the quotation is accepted.


Payment for Services

We will invoice on completion of Services or as per agreed schedule.

Payment terms are 7 days unless otherwise agreed.

Late payments may incur interest at 4% above the Bank of England base rate.

We may suspend work for non-payment.


Payment for Goods

We may invoice upon dispatch or when Goods are available for collection.

Payment must be made within 7 days unless agreed otherwise.

Payment is required even if delivery is delayed by your actions.

Late payment may incur interest at 4% above the Bank of England base rate.


Delivery (UK Only)

Delivery will be made to the address provided at checkout or in the quotation.

Delivery dates are estimates only; delays do not entitle cancellation unless agreed.

If you fail to take delivery, we may:

  • store Goods and charge storage fees,
  • arrange redelivery at your cost, or
  • after 10 business days, sell the Goods and recover losses.
  • We may deliver in instalments.

Inspection and Acceptance of Goods

You must inspect Goods upon delivery and notify us of defects within 3 days.

If accepted as faulty, we will repair, replace, or refund.

Claims are void if:

  • you continue using Goods after reporting a fault,
  • damage arises from misuse, installation errors, or improper storage,
  • normal wear and tear is involved.
  • Goods are deemed accepted after 4 days unless reported.

Risk and Title

Risk passes upon delivery.

Title passes only when payment is received in full.

Until title passes, you must store Goods safely and not alter or resell them.


Warranties

We warrant that Goods are:

  • of satisfactory quality,
  • fit for purpose (where purpose is explained to us),
  • as described.
  • This warranty does not cover wear and tear or damage caused by misuse or improper installation.

Termination (Services)

We may terminate Services immediately if you:

  • materially breach these Terms,
  • fail to pay on time,
  • become insolvent.

Termination (Goods)

We may terminate the sale if you materially breach the Terms or become insolvent.


Intellectual Property

We retain all intellectual property rights in any materials, designs, or content we create.


Liability & Indemnity

Nothing in these Terms limits liability for death, personal injury, or fraud.

We are not liable for:

  • indirect or consequential losses,
  • loss of profit, business, or data,
  • delays outside our control,
  • suitability where we were not advised of specific requirements.
  • Our total liability for Goods or Services will not exceed the amount paid.

Data Protection

Both parties will comply with UK GDPR.

We process personal data only as necessary to supply Goods and Services.

Force Majeure

Neither party is liable for delays caused by events outside reasonable control, including strikes, natural disasters, or transport disruption.


Complaints

Complaints must be submitted in writing to [email protected].

We aim to resolve all complaints within 14 days.


Communications

Notices must be delivered by email, hand, courier, or post and are deemed received as follows:

  • immediately if delivered by hand,
  • when email receipt is confirmed,
  • on the 5th business day after posting.

No Waiver

Failure to enforce rights does not constitute a waiver.


Severance

If any provision is invalid, the remaining Terms remain valid.


Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes will be handled exclusively by the courts of England and Wales.
